These Terms of Use govern your access to and use of all websites, applications, and services operated by CLOUTIER Fire Services, including CFS FireIQ, the Quote Generator, Client Tracker, White Label Generator, Demo Request Form, and Business Portal, accessible at cloutierfireservices.ca and its subdomains. Please read these terms carefully before using our services.
Important Notice: CFS FireIQ is a decision support tool only. It does not replace the professional judgment, training, experience, or authority of a qualified Incident Commander. CLOUTIER Fire Services is not liable for any fireground decisions made in reliance on this application. See Section 11 and 12 for full disclaimer details.
Section 01
Acceptance of Terms
By accessing or using any service provided by CLOUTIER Fire Services ("Company", "we", "us", or "our"), including but not limited to the CFS FireIQ application, our websites, training programs, and drone services, you ("User", "Client", or "you") agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated herein by reference.
If you are accessing our services on behalf of a fire department, municipality, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
If you do not agree to these Terms of Use, you must not access or use our services. Your continued use of our services following any updates to these Terms constitutes acceptance of those changes.
Section 02
Description of Services
CLOUTIER Fire Services provides the following services, subject to these Terms:
- CFS FireIQ Application — a mobile-first, browser-based Fireground Risk Matrix application that guides Incident Commanders through a structured real-time assessment of seven fireground risk factors, generating an instant risk verdict and PDF incident report
- White Label Deployment — a custom-branded version of the CFS FireIQ application deployed to a dedicated URL bearing the client department's name, logo, and colours
- NFPA Training Programs — certified fire service training courses delivered through the Ontario Fire College, including NFPA 1001, 1002, 1006, 1021, 1041, 1072, and 1521
- Drone Services — professional unmanned aerial vehicle operations including aerial photography, videography, inspection, mapping, surveying, and site monitoring
- Supporting Tools — the Quote Generator, Client Tracker, White Label Generator, Demo Request Form, and Business Portal, provided for operational and administrative purposes
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.
Section 03
Eligibility
Our services are intended for use by:
- Fire departments, fire services, and emergency response organizations in Canada and the United States
- Municipalities and local governments
- Fire service professionals including Incident Commanders, Fire Chiefs, Deputy Chiefs, Fire Officers, and Firefighters
- Emergency management professionals
- Commercial and industrial clients requiring drone or inspection services
You must be at least 18 years of age to use our services and enter into binding agreements. Our services are not intended for personal, household, or consumer use.
By using our services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.
Section 04
License Grant & Restrictions
Subject to your payment of the applicable license fee and compliance with these Terms, CLOUTIER Fire Services grants you a limited, non-exclusive, non-transferable, revocable license to access and use the CFS FireIQ application solely for your department's internal fireground risk assessment operations during the license term.
The license tiers are as follows:

A one-time setup and deployment fee of $99 CAD applies to all tiers. Canadian clients are subject to 13% HST. US clients are billed in USD with no Canadian tax applied.
You may not:
- Copy, reproduce, distribute, or sublicense the CFS FireIQ application or any component thereof to any third party
- Sell, resell, transfer, assign, or otherwise commercialize your license without written consent from CLOUTIER Fire Services
- Modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the application
- Remove or obscure any copyright, trademark, or other proprietary notices from the application
- Use the application for any purpose other than internal fireground risk assessment operations
- Share your deployed application URL beyond the scope of your licensed stations
- Use the application in connection with any illegal activity or in violation of any applicable law or regulation
Section 05
Subscription, Payment & Billing
CFS FireIQ licenses are sold on an annual subscription basis. Payment is due in full at the time of purchase. All payments are processed securely by Stripe, Inc.
- Annual renewal — your license expires on the anniversary of your start date. Renewal notices will be sent by email at least 30 days prior to expiry. Failure to renew will result in deactivation of your deployed application.
- Setup fee — the one-time setup fee of $99 CAD is non-refundable and covers the build and deployment of your custom-branded application.
- Refund policy — annual license fees are refundable within 14 days of purchase if the application has not yet been deployed. Once your white label application has been built and deployed, license fees are non-refundable. No partial refunds are provided for unused license periods.
- Price changes — we reserve the right to change pricing at any time. Existing clients will be notified of price changes at least 60 days before their renewal date and will renew at the price in effect at the time of renewal.
- Taxes — Canadian clients are subject to 13% HST collected through Stripe at checkout. HST registration number will be provided upon issuance. US clients are not subject to Canadian taxes.
- Overdue accounts — access to deployed applications may be suspended if payment is not received within 30 days of the renewal date.
Section 06
White Label Deployment
All CFS FireIQ licenses include a custom white label deployment — a branded version of the application displaying your department's name, logo, and colours, deployed to a dedicated subdomain of cloutierfireservices.ca or a subdirectory thereof.
- Deployment timeline — your branded application will be built and deployed within 24 hours of confirmed payment, subject to receipt of your department logo and branding information.
- Your responsibilities — you are responsible for providing accurate department information, a suitable logo in PNG or JPG format, and any other branding materials required for deployment.
- Hosting — your deployed application is hosted on CLOUTIER Fire Services infrastructure. Hosting is included in your annual license fee. We are not responsible for internet connectivity, device compatibility issues, or third-party service outages beyond our control.
- Uptime — we target 99% uptime for hosted applications but do not provide a formal Service Level Agreement (SLA) for shared hosting configurations.
- Updates — platform updates and improvements to CFS FireIQ are deployed automatically to all client applications. We will provide advance notice of any changes that materially affect the application's functionality.
- Custom domains — clients wishing to deploy the application on their own domain (e.g. app.yourdepartment.ca) are responsible for their own domain registration and DNS configuration. We will assist with the technical deployment at no additional charge.
- Termination — upon expiry or termination of your license, your deployed application will be deactivated and the subdomain will be released. We will retain your application files for 30 days following termination, after which they will be permanently deleted.
Section 07
NFPA Training Services
CLOUTIER Fire Services delivers NFPA-certified training programs in partnership with the Ontario Fire College. The following terms apply to all training engagements:
- Scope — training programs are delivered in accordance with the applicable NFPA standard and the Ontario Fire College curriculum. Program content, duration, and assessment methods are defined by the Ontario Fire College.
- Certification — successful completion of a training program, including any required practical and written assessments, results in certification under the applicable NFPA standard. Certification is issued by the Ontario Fire College and is subject to their policies and procedures.
- Scheduling — training dates, locations, and participant requirements will be confirmed in writing prior to program delivery. Minimum participant numbers may apply.
- Cancellation — cancellations made more than 14 days prior to a scheduled training session are eligible for a full refund or rescheduling. Cancellations within 14 days of the session may be subject to a cancellation fee of up to 50% of the program fee.
- Client responsibilities — the client organization is responsible for ensuring participants meet any prerequisite requirements, providing suitable training facilities where applicable, and ensuring participants' fitness for participation in practical exercises.
- Liability — CLOUTIER Fire Services is not liable for any injury, illness, or incident occurring during practical training exercises where the client has represented that all safety requirements and prerequisites have been met.
Section 08
Drone Services
All drone operations conducted by CLOUTIER Fire Services are performed by Transport Canada certified pilots in compliance with the Canadian Aviation Regulations (CARs) and the Aeronautics Act. The following terms apply to all drone service engagements:
- Regulatory compliance — all operations are conducted in compliance with Transport Canada regulations. The client is responsible for obtaining any required site access permissions, property owner consents, and municipal permits prior to the scheduled operation.
- Safety authority — the CLOUTIER Fire Services pilot-in-command has absolute authority to refuse, delay, or terminate any drone operation that, in their professional judgment, poses an unacceptable safety risk. No refund obligation arises from a safety-based termination if reasonable efforts are made to reschedule.
- Weather — drone operations may be delayed or cancelled due to weather conditions. We will make reasonable efforts to reschedule weather-affected operations at no additional cost.
- Deliverables — agreed deliverables (photographs, video, maps, reports) will be provided in the formats specified in the service agreement within the timeline agreed upon at booking.
- Intellectual property — all aerial photographs, video, maps, and other deliverables produced by CLOUTIER Fire Services are the property of the client upon full payment. CLOUTIER Fire Services retains the right to use non-sensitive imagery for portfolio and marketing purposes unless the client requests otherwise in writing.
- Insurance — CLOUTIER Fire Services maintains drone liability insurance coverage for all commercial operations. A certificate of insurance is available upon request.
- Limitation — drone services are not provided in controlled airspace, restricted zones, or within flight restrictions without appropriate Transport Canada authorization. Emergency scene support operations are subject to Incident Commander approval and applicable emergency management protocols.
Section 09
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services to:
- Violate any applicable federal, provincial, state, or local law or regulation
- Infringe the intellectual property rights of CLOUTIER Fire Services or any third party
- Transmit any harmful, offensive, or unauthorized content through our platforms
- Attempt to gain unauthorized access to our systems, servers, or networks
- Interfere with or disrupt the integrity or performance of our services
- Use automated tools to scrape, copy, or extract content from our applications without written permission
- Misrepresent your identity, your organization, or your authority to enter into agreements with us
- Use CFS FireIQ as the sole basis for life-safety decisions without the application of professional training and judgment
We reserve the right to terminate access to our services immediately and without notice for violations of this acceptable use policy.
Section 10
Intellectual Property
All content, software, design, code, methodology, trademarks, and other materials comprising or relating to the CFS FireIQ application and CLOUTIER Fire Services websites are the exclusive intellectual property of CLOUTIER Fire Services and are protected under the Copyright Act, R.S.C. 1985, c. C-42 and applicable trademark, trade secret, and other intellectual property laws.
This includes but is not limited to: the CFS FireIQ name and logo, the CLOUTIER Fire Services name and logo, the seven-factor fireground risk assessment methodology, the application source code, user interface design, PDF report templates, and all written content on our websites.
Your license to use the CFS FireIQ application does not convey any ownership interest in our intellectual property. Nothing in these Terms transfers any intellectual property rights to you.
If you believe any content on our platforms infringes your intellectual property rights, please contact us at the address provided in Section 17.
Section 11
Disclaimer of Warranties
Critical Safety Notice: CFS FireIQ is a decision support tool. It is designed to assist trained Incident Commanders in structuring their situational assessment. It does not replace professional firefighting training, experience, or judgment. Fireground conditions are dynamic and no software application can fully account for all variables present at an active incident scene.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUTIER FIRE SERVICES PROVIDES ALL SERVICES, INCLUDING THE CFS FIREIQ APPLICATION, ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE APPLICATION WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY RISK ASSESSMENT OUTPUT
- WARRANTIES THAT THE APPLICATION WILL MEET YOUR SPECIFIC OPERATIONAL REQUIREMENTS
Weather data, GPS coordinates, and What3Words address data are provided by third-party services and CLOUTIER Fire Services makes no warranty regarding their accuracy, availability, or fitness for emergency response purposes.
Section 12
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL CLOUTIER FIRE SERVICES, ITS FOUNDER, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services
- Any loss of life, personal injury, or property damage arising from fireground decisions made in reliance on CFS FireIQ risk assessments
- Any loss of data, revenue, profits, or business opportunity arising from service interruptions or application errors
- Any damages arising from third-party services including Stripe payment processing, What3Words, weather data providers, or web hosting providers
In jurisdictions where the exclusion or limitation of incidental or consequential damages is not permitted, our liability is limited to the maximum extent permitted by law.
In all cases, our total aggregate liability to you for any claims arising from or related to your use of our services shall not exceed the total amount you paid to CLOUTIER Fire Services in the 12 months preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory under which the claim is brought, whether in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
Section 13
Indemnification
You agree to defend, indemnify, and hold harmless CLOUTIER Fire Services and its founder, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of our services in violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party intellectual property, privacy, or other rights
- Any fireground decisions made by your personnel using or purporting to rely on CFS FireIQ
- Any misrepresentation made by you in connection with your use of our services
Section 14
Termination
Termination by you: You may terminate your CFS FireIQ license at any time by providing written notice to CLOUTIER Fire Services. Termination takes effect at the end of your current annual license term. No refunds are provided for early termination of an active license term.
Termination by us: We may suspend or terminate your access to our services immediately and without notice if:
- You breach any provision of these Terms and fail to remedy the breach within 7 days of written notice
- Payment of your license fee or renewal fee is overdue by more than 30 days
- We reasonably believe your use of our services poses a legal, reputational, or security risk
- We are required to do so by applicable law or regulatory authority
Effect of termination: Upon termination for any reason, your license to use CFS FireIQ immediately ends, your deployed application will be deactivated, and all outstanding fees become immediately due and payable. Sections 10, 11, 12, 13, and 15 survive termination of these Terms.
Section 15
Governing Law & Dispute Resolution
These Terms of Use and any dispute arising out of or relating to them or our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any legal action or proceeding relating to these Terms or our services shall be brought exclusively in the courts of the Province of Ontario, Canada, and you hereby consent to the jurisdiction of those courts.
Dispute resolution process: Before initiating any legal proceeding, both parties agree to attempt to resolve disputes through good-faith negotiation. Either party may initiate this process by sending written notice describing the dispute. The parties will have 30 days to attempt resolution before either party may pursue other remedies.
For US-based clients, nothing in this section prevents you from pursuing remedies available under applicable US federal or state consumer protection laws where such rights cannot be waived by contract.
Section 16
Changes to These Terms
We reserve the right to modify these Terms of Use at any time. When we make material changes, we will:
- Update the Last Updated date at the top of this page
- Post a notice on our website for 30 days following any material change
- Send email notification to active clients where changes materially affect their rights or obligations
Changes to these Terms take effect immediately upon posting unless a later effective date is specified. Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms.
If you do not agree to any updated Terms, you must stop using our services and notify us in writing. Active clients who object to material changes may terminate their license without penalty within 30 days of receiving notice of the change.
